Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of AvaSeminar’s websites, applications, AI-powered seminar tools, and related services (collectively, the “Service”). “AvaSeminar,” “we,” “us,” and “our” refer to the operator of the AvaSeminar service.
By creating an account, purchasing a plan, or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you confirm that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old, or the age of legal majority where you live, to create an account or purchase a plan. You must provide accurate account information and keep your login credentials secure. You are responsible for activity performed through your account and for promptly notifying us if you believe your account has been compromised.
2. The Service
AvaSeminar helps customers turn presentations, recordings, and related materials into interactive, on-demand AI seminar experiences. Depending on the selected plan and available features, the Service may include narrated slides, generated scripts, AI avatar video, text-based questions and answers, live AI avatar conversations, audience registration, forms, analytics, hosted links, and embeds.
Features, limits, and availability may vary by plan, market, language, provider availability, and technical requirements. We may improve, replace, or discontinue features as the Service evolves.
3. Customer Content
“Customer Content” means presentations, documents, recordings, scripts, images, video, audio, voice samples, avatar materials, questions, form responses, instructions, and other content submitted to or generated through your workspace.
You retain ownership of your Customer Content. You grant AvaSeminar a worldwide, non-exclusive, limited license to host, copy, process, transmit, modify, display, and create technical derivatives of Customer Content only as reasonably necessary to provide, secure, maintain, and support the Service.
You represent that you have all rights, permissions, notices, and consents required to submit Customer Content and to allow AvaSeminar and its service providers to process it. You must not upload confidential, regulated, or sensitive information unless you are authorized to do so and have determined that the Service is appropriate for that information.
4. Avatars, voices, and likenesses
If you upload or use a person’s photograph, video, voice, name, likeness, or other identifying material, you confirm that you have that person’s informed permission and all necessary legal rights for the intended use.
You may not use the Service to impersonate another person, create deceptive media, falsely imply a person’s endorsement, or use a person’s identity without authorization. You are responsible for making appropriate disclosures when viewers interact with AI-generated or synthetic presenters.
5. Published seminars and audience data
You control whether a seminar is published and how its link or embed is distributed. A published or embedded seminar may be accessible to anyone who receives or can access its link. You are responsible for reviewing content before publication and for configuring access appropriately.
If you collect names, email addresses, form responses, questions, voice input, or other information from viewers, you are responsible for having a lawful basis, providing any required notices, obtaining any required consents, and responding to viewer requests relating to that information. AvaSeminar processes this information to provide the Service and may act as a service provider or processor on your behalf.
If you link to an external form or third-party service, that third party’s terms and privacy practices also apply.
6. Acceptable use
You may not use the Service to:
- violate any law or another person’s rights;
- upload content you do not have permission to use;
- impersonate, deceive, defraud, harass, threaten, or exploit another person;
- create or distribute unlawful, defamatory, hateful, sexually exploitative, or seriously harmful content;
- generate unauthorized synthetic media using another person’s face or voice;
- collect personal data without appropriate notice or authority;
- distribute malware, interfere with the Service, bypass limits, probe security, or access another account without permission;
- use automated means to overload, scrape, or abuse the Service; or
- present AI-generated information as professional medical, legal, financial, safety, or other high-stakes advice without appropriate qualified review.
We may investigate suspected misuse and suspend or terminate access when reasonably necessary to protect users, third parties, providers, or the Service.
7. AI-generated content and live interactions
AI-generated scripts, speech, answers, summaries, and other outputs may be incomplete, inaccurate, outdated, or unsuitable for your intended use. Grounding features are designed to use supplied seminar content but do not guarantee factual accuracy.
You are responsible for reviewing generated content before publishing or relying on it. AvaSeminar is not a substitute for professional advice or human review. Live AI avatar interactions may also be affected by speech recognition errors, network conditions, provider availability, and the quality of source content.
8. Plans, subscriptions, payments, and credits
Current prices, billing periods, plan limits, included usage, and available payment methods are shown on the pricing page or at checkout. Taxes may be added where required. Payments may be processed by third-party payment providers.
If you purchase a recurring subscription, it will renew for the billing period shown at checkout unless you cancel before renewal. Cancellation normally takes effect at the end of the current paid billing period unless applicable law or the checkout terms require otherwise.
Except where required by law or expressly stated at checkout, paid fees are non-refundable. Plan changes, upgrades, downgrades, and cancellation options may be subject to the rules shown in your account or at checkout.
Credits are usage units for eligible Service features. Credits are not money, have no cash value, and may not be transferred or resold. Included recurring credits reset or expire according to the applicable plan and do not roll over unless expressly stated. Purchased credits may have a separate expiration period disclosed at purchase. Usage calculations, rounding rules, and feature-specific credit rates are shown in the applicable product interface, pricing information, or billing terms.
9. Third-party services
The Service relies on third-party services for functions such as authentication, payments, AI processing, voice generation, speech recognition, avatar rendering, email delivery, hosting, storage, and analytics. Their availability and performance may affect the Service. Your use of an external service may also be governed by that provider’s terms.
10. AvaSeminar intellectual property
AvaSeminar and its licensors own the Service, software, designs, branding, documentation, and other materials we provide, excluding Customer Content. These Terms do not transfer ownership of the Service to you.
If you provide feedback or suggestions, you allow us to use them without restriction or compensation, but we will not identify you publicly as the source without permission.
11. Service availability and changes
We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable because of maintenance, security events, provider failures, network conditions, or circumstances outside our reasonable control.
We may update the Service and reasonable usage limits to maintain security, performance, compliance, or product quality. If a change materially reduces a paid Service, we will provide notice where reasonably practical.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially violate these Terms, fail to pay required fees, create security or legal risk, or misuse the Service.
After account or workspace termination, access to Customer Content may end. We may retain limited information where required for legal compliance, payment records, fraud prevention, dispute resolution, security, or backup integrity, as described in the Privacy Policy.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” AvaSeminar disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that AI-generated content will be correct or that the Service will meet every business, legal, compliance, or technical requirement.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, AvaSeminar will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from the Service.
To the maximum extent permitted by law, AvaSeminar’s total liability arising out of or relating to the Service will not exceed the amount you paid to AvaSeminar for the Service during the 12 months before the event giving rise to the claim, or US$100 if you used only a free Service.
These limitations do not apply where liability cannot legally be limited, including where applicable for fraud, willful misconduct, gross negligence, or non-waivable consumer rights.
15. Indemnity
To the extent permitted by law, you will defend and indemnify AvaSeminar against third-party claims arising from your Customer Content, your published seminars, your use of a person’s image or voice, your collection or use of audience data, or your material violation of these Terms or applicable law.
16. Governing law and disputes
These Terms are governed by the laws of Taiwan, without regard to conflict-of-law rules. Unless mandatory law provides otherwise, disputes relating to these Terms or the Service will be submitted to the courts located in Taipei, Taiwan. Nothing in this section limits mandatory rights you may have under applicable consumer or data protection law.
17. Changes to these Terms
We may update these Terms as the Service evolves. We will post the revised version and update the effective date. If a change materially affects your rights or obligations, we will provide additional notice where reasonably appropriate. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
